End User License Agreement (EULA)

We are Eos Mist LTD. ("Company," "we," "us," "our"), a company registered at HaKaran Street 1, Ra'anana (zip code: 4339501) in Israel.
These Terms of Use govern your access to and use of our installation tool and related software components in connection with the software product known as Smile ("Installer" and/or "Software"). By downloading, installing, or using the Installer, you ("User" or "you") acknowledge and agree to be bound by these Terms, which form a legally binding agreement between you and the Company.
Ownership and Scope
The Software are the exclusive property of the Company and are either owned by or licensed to it. These Terms apply to all components, features, modules, functionalities, and services made available through the Software, including any integrated search-related components.
Acceptance of Terms
By installing, accessing, or using the Software, you confirm that you have read, understood, and agree to be bound by these Terms, including the Privacy Policy and to comply with all applicable laws and regulations. If you do not agree to any part of these Terms, you must immediately discontinue use of the Software and remove it from your device.
In order to provide proper operation, performance, analytics, and security, the Software may process limited technical and usage-related data necessary for functionality and performance. You are encouraged to review our Privacy Policy prior to installation.
Software Services
By initiating the installation process, you authorize Company to install the Software and any associated components. During installation, and subject to your consent, the Software may modify certain browser settings, including your default search engine, home page, or new tab page, in order to connect you with a search provider selected by us. By continuing with the installation, you expressly consent to such modifications.
If you subsequently uninstall Smile, your previous browser settings will not be restored automatically and must be reset manually through your browser settings.
By proceeding with installation, you further acknowledge and consent to setting Smile as your default file conversion utility and agree to all terms governing its features and functionality, and that the Software may include search functionality powered by third-party search providers, all in accordance with these Terms.
License Grant and Restrictions
The Company grants you a limited, non-exclusive, revocable, non-transferable license to install and use the Software solely for personal, non-commercial purposes. All rights not expressly granted herein are reserved by the Company and/or its licensors.
Third-Party Content
The Software may include or provide access to third-party content, advertisements, or external services. The Company does not control and is not responsible for such third-party offerings. Any interaction with them is at your own risk and may be governed by the applicable third party's own terms and policies.
User Obligations
You agree not to:
- Copy, reproduce, distribute, sell, sublicense, or exploit the Software.
- Modify, decompile, disassemble, or reverse engineer any portion of the Software.
- Circumvent security features or attempt unauthorized access.
- Use the Software for unlawful, fraudulent, or harmful purposes.
- Violate these Terms in any manner.
Any violation of the obligations above may result in immediate suspension or termination of your access to the Software and may expose your legal liability.
Intellectual Property
All intellectual property rights in and to the Software, including trademarks, source code, designs, and proprietary elements, are the intellectual property of the Company or its licensors. Nothing in these Terms grants you any ownership interest or intellectual property rights in the Software.
Disclaimer of Warranties
The Software is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied. The Company does not guarantee uninterrupted operation, compatibility, or error-free performance.
You assume all risks associated with installing and using the Software.
Limitation of Liability
To the fullest extent permitted by law, the Company shall not be liable for indirect, incidental, or consequential damages arising from the use or inability to use the Software. Any liability of the Company shall be limited to the lesser of USD $10 or the amount paid by you for the Software.
Updates and Modifications
The Company may, at its discretion, deploy updates, patches, or enhancements. Continued use of the Software constitutes acceptance of such updates. Temporary interruptions may occur as a result.
Termination
These Terms remain in effect until terminated. You may terminate this Agreement at any time by uninstalling the Software and ceasing all use. The Company may suspend or terminate your access immediately if you breach these Terms or if your continued use poses a risk to the Company, its users, or third parties.
Upon termination, you must uninstall the Software and all licenses granted herein will immediately cease. Continued use of the Software after termination constitutes a breach of these Terms.
Indemnification
You agree to indemnify and hold harmless the Company, its representatives, affiliates, partners, and employees from any claims, damages, or expenses arising out of or related to your misuse of the Software or your breach or violation of these Terms.
Changes to Terms
The Company may revise these Terms at any time. Updated Terms take effect upon publication. Continued use of the Software indicates acceptance of the revised Terms.
General Provisions
- If any provision is held unenforceable, the remaining provisions shall remain in effect.
- Failure to enforce any provision shall not constitute a waiver.
- You may not assign these Terms without prior written consent of the Company.
Governing Law and Jurisdiction
These Terms are governed by the laws of the State of Israel. Any disputes shall be subject to the exclusive jurisdiction of the courts located in Tel Aviv. Any claims must be brought within twelve (12) months of the relevant event.
Force Majeure
The Company shall not be liable for any delays or failures caused by events beyond its reasonable control, including natural disasters, power outages, or governmental actions.
